1. General Information
365.Manufactury LLC, located at Jurija Gagarina 231,, Belgrade, Republic of Serbia (hereinafter referred to as the "Provider"), hereby offers legal entities and individual entrepreneurs (hereinafter referred to as the "Client") to enter into a service agreement for production services under the terms outlined below.
This Offer constitutes a legally binding public offer in accordance with the laws of the Republic of Serbia and international business practices. Acceptance of this Offer signifies the Client's full agreement with the following terms.

2. Subject of the Agreement
2.1. The Provider agrees to deliver garment, textile, and related product manufacturing services based on the Client’s technical specifications.
2.2. The Client agrees to accept and pay for the services rendered in accordance with this Agreement.

‍3. Collaboration Process
3.1. All order details—including quantity, materials, deadlines, and pricing—are agreed upon individually and documented via a technical specification or electronic correspondence.
3.2. An order is considered accepted once the layout, terms, and prepayment (if applicable) are confirmed.

‍4. Pricing and Payment Terms
4.1. Service pricing is determined individually based on complexity, volume, materials used, and deadlines.
4.2. All prices are quoted in Serbian dinars (RSD) or euros (EUR), as agreed by both parties.
4.3. Payments may be made via:
Bank transfer
Cash
Card (POS terminal or online payment)
4.4. Standard payment terms: 50% prepayment and final settlement upon order delivery. Alternative terms may be arranged by mutual agreement.

5. Delivery Timeframes
5.1. Order timelines vary based on complexity and volume, ranging from 2 to 20 business days.
5.2. Exact timelines are agreed before production begins. The Provider reserves the right to decline an order if timely delivery cannot be guaranteed.

‍6. Rights and Responsibilities
The Provider shall:
‍Deliver the order in accordance with the agreed technical specifications and deadlines
Notify the Client of any delays or changes
Rectify any production defects at their own expense

The Client shall:
‍Provide all necessary input materials and requirements
Pay for services on time
Collect the finished goods within 5 business days of notification of completion

7. Returns, Warranty, and Liability
7.1. The Provider offers a 14-day warranty on production quality from the date of delivery.
7.2. Claims must be supported by photo or video evidence showing the production defect.
7.3. The Provider is not liable for:
Design/layout errors provided by the Client
Delays caused by the Client’s failure to provide required materials or information

8. Force Majeure
8.1. Both parties are released from liability for partial or complete non-performance caused by force majeure events (e.g. fire, war, natural disasters, supply chain disruptions, power outages, etc.).

‍9. Confidentiality
9.1. All working conditions, designs, patterns, and business information shared during the collaboration are confidential and shall not be disclosed to third parties without written consent from the other party.

‍10. Jurisdiction
10.1. Any disputes or disagreements shall be resolved through negotiation.
10.2. If an amicable resolution is not possible, disputes will be settled by the competent court at the Provider’s place of registration, in accordance with the laws of the Republic of Serbia.

‍11. Final Provisions
11.1. This Offer becomes effective upon publication on the Provider’s official website.
11.2. Acceptance of the Offer includes sending a message, form submission, or any communication via the website, messengers, or email confirming the intention to collaborate.
11.3. The Client acknowledges they have read and fully accept the terms of this Offer and agrees to comply with them.
